These Terms of Service ("Terms") govern your access to and use of the website manchuconsulting.com and any services provided by Manchu ApS ("Manchu", "we", "us"). By visiting the site or engaging us, you agree to these Terms. We are based in Denmark, and these Terms are governed by Danish law.

    2. Use of this website

    • The website and its content are provided for general information about our services.
    • You agree not to misuse the site — including attempting unauthorised access, disrupting its operation, or using it for any unlawful purpose.
    • Content on the site (text, design, graphics, logos) is owned by Manchu ApS or its licensors and may not be copied or reused without permission, except as permitted by law.

    3. Our services

Manchu ApS provides Amazon marketplace and advertising consulting services to brands and sellers. The specific scope, deliverables, fees, and duration of any engagement are defined in a separate written agreement, proposal, or statement of work agreed with the client. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement prevails.

    4. Engagements and fees

    • Fees, payment terms, and invoicing schedules are set out in the applicable engagement agreement.
    • Unless otherwise agreed, invoices are payable within the period stated on the invoice.
    • All fees are exclusive of VAT and other applicable taxes unless stated otherwise.

    5. Client responsibilities

    • Provide timely, accurate information and the access we reasonably need to deliver the services, granted through Amazon's own authorization tools (for example, service provider authorization in Seller Central, Amazon Ads account access or app authorization). Never share account passwords with us.
    • Ensure you are authorised to grant any access you provide, and that doing so complies with the applicable platform terms (including Amazon's).
    • You remain responsible for decisions you make based on our recommendations.

    6. Third-party platforms and data

Our services rely on third-party platforms (notably Amazon) whose availability, policies, and data we do not control. Where we process data on your behalf — including Amazon Ads data — we do so as a data processor under your instructions and in line with the applicable platform terms and our Privacy Policy.

    Manchu Listing Manager

    • Manchu Listing Manager is an internal tool used only by Manchu staff to deliver listing work agreed in an engagement. It is not sold separately and has no separate fee.
    • You authorize the tool yourself through Amazon's authorization page, and you can revoke that authorization at any time in Seller Central. We use it only for the work you have asked us to do.
    • The tool is independent of Amazon and is not affiliated with, endorsed by or sponsored by Amazon. See the Manchu Listing Manager page for how it handles Amazon data.

    7. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement, except where disclosure is required by law. This obligation survives termination of the engagement.

    8. Intellectual property

Unless otherwise agreed in writing, deliverables prepared specifically for a client become the client's property upon full payment. Manchu ApS retains ownership of its pre-existing materials, methods, and know-how, and may use general skills and experience gained during an engagement.

    9. Disclaimers

The website is provided "as is" without warranties of any kind. While we deliver our services with professional care and skill, we do not guarantee specific commercial results (such as sales, rankings, or advertising performance), as these depend on factors outside our control.

    10. Limitation of liability

To the extent permitted by law, Manchu ApS is not liable for indirect or consequential losses, loss of profits, or loss of data. Our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by the client for that engagement in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

    11. Term and termination

Either party may terminate an engagement as set out in the applicable engagement agreement, or on reasonable written notice where no term is specified. On termination, the client pays for services performed up to the termination date. Sections relating to confidentiality, intellectual property, and liability survive termination.

    12. Governing law and disputes

These Terms and any engagement are governed by the laws of Denmark. Disputes that cannot be resolved amicably are subject to the jurisdiction of the Danish courts, with the City Court of Copenhagen (Københavns Byret) as the court of first instance, unless mandatory law provides otherwise.

    13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the latest version. Continued use of the website after changes take effect constitutes acceptance of the revised Terms. Material changes affecting an active engagement will be communicated to the client directly.
